Agreement

These Terms of Service ("Terms") govern your access to and use of the website at www.marzen.ai and related pages (the "Site"), operated by MarZen, Inc. ("MarZen," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

If you use MarZen's platform or paid services under a separate order, master services agreement, or similar contract ("Customer Agreement"), that agreement controls for platform use. These Terms apply to the Site and general website interactions unless your Customer Agreement says otherwise.

Who May Use the Site

The Site is intended for business users (companies and marketing teams). You must be at least 18 years old and able to form a binding contract.

You may use the Site only for lawful purposes and in compliance with these Terms and applicable law.

The Site and Our Services

MarZen provides information about an AI-powered marketing automation platform, including agentic workflows for paid media, content, and related marketing activities.

Content on the Site (descriptions, demos, and similar materials) is for general information only. It does not constitute professional, legal, financial, or advertising advice.

Accounts, Demos, and Inquiries

If you submit a contact form, request a demo, or sign up for updates, you agree to provide accurate information and to keep it current where relevant.

We may contact you about your inquiry or MarZen services. Marketing emails will include an unsubscribe option where required by law.

We may refuse, suspend, or terminate access to the Site or related communications if we reasonably believe you have violated these Terms or pose a security or legal risk.

Acceptable Use

You agree not to:

• Use the Site in any way that violates law or third-party rights
• Attempt to gain unauthorized access to our systems, accounts, or data
• Probe, scan, or test vulnerabilities without our prior written consent
• Interfere with or disrupt the Site (e.g., excessive automated requests, malware)
• Scrape, harvest, or copy Site content at scale without permission
• Misrepresent your affiliation with MarZen or impersonate another person or entity
• Upload or transmit unlawful, infringing, or harmful material through any Site feature that accepts user input

We may investigate violations and cooperate with law enforcement where appropriate.

Intellectual Property

The Site and its content (text, graphics, logos, layout, software, and other materials) are owned by MarZen or its licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business evaluation and informational purposes.

You may not copy, modify, distribute, sell, or create derivative works from Site content except as allowed by law or with our prior written consent.

Feedback

If you send suggestions or ideas about our products, you grant us the right to use them without restriction or compensation, except where prohibited by law.

Third-Party Services and Links

The Site may reference or link to third-party websites, tools, or platforms (e.g., advertising networks, analytics, social media). Those services are governed by their own terms and policies.

MarZen is not responsible for third-party sites or services. Your use of integrated ad platforms (e.g., Meta, Google, TikTok) remains subject to those platforms' rules and your agreements with them.

AI and Marketing Disclaimers

MarZen's platform may use artificial intelligence to generate recommendations, copy, or actions. AI outputs may be inaccurate, incomplete, or unsuitable for your business. You are responsible for reviewing outputs before relying on them or publishing them in campaigns.

MarZen does not guarantee specific marketing results (such as impressions, clicks, conversions, ROAS, or revenue). Performance depends on many factors outside our control, including your data, budgets, creative, and platform policies.

You remain responsible for compliance with advertising laws, platform policies, and any obligations to your customers and end users.

Privacy

Our collection and use of personal information through the Site is described in our Privacy Policy. By using the Site, you acknowledge that policy.

Disclaimers

THE SITE AND ALL SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARZEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID MARZEN FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

Indemnity

You will defend, indemnify, and hold harmless MarZen from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

Changes to These Terms

We may update these Terms from time to time. We will post the updated version on the Site and revise the "Last Updated" date. Material changes may also be noted on the Site or by other reasonable means.

Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

Any dispute arising from these Terms or the Site will be brought in the state or federal courts located in Santa Clara County, California, and you consent to their exclusive jurisdiction, except where applicable law requires otherwise.

General

These Terms, together with the Privacy Policy, are the entire agreement between you and MarZen regarding the Site. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
